Terms of Service

  1. Acceptance of Terms – By accessing or using the services provided by Innovthrix Solutions, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree, you may not use our services.
  2. Description of Services – Innovthrix Solutions offers software development, web and mobile application development, CRM/ERP systems, API integrations, and custom corporate solutions. We reserve the right to modify or discontinue any service without prior notice.
  3. User Accounts – To access certain features, you may need to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
  4. Intellectual Property Rights – All content, code, designs, and materials provided through our services are the property of Innovthrix Solutions or its licensors and are protected by copyright, trademark, and other intellectual property laws.
  5. License to Use – We grant you a limited, non-exclusive, non-transferable license to access and use our services for your internal business purposes. You may not copy, modify, or reverse engineer any part of the services.
  6. Client Responsibilities – You agree to provide accurate and complete information necessary for the performance of services. You are responsible for obtaining any consents or permissions required for the data you share with us.
  7. Fees and Payment – Fees for services are outlined in your project agreement. Unless otherwise agreed, payments are due as specified. Late payments may result in suspension of services and accrual of interest.
  8. Refund Policy – Our refund policy is detailed in a separate document (see Refund Policy). Generally, fees are non-refundable except as explicitly stated in your agreement.
  9. Confidentiality – Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of the project. This obligation survives the termination of this agreement.
  10. Data Security – We implement reasonable security measures to protect your data. However, you acknowledge that no system is completely secure, and we are not liable for unauthorized access beyond our control.
  11. Limitation of Liability – To the maximum extent permitted by law, Innovthrix Solutions shall not be liable for any indirect, incidental, or consequential damages arising out of or related to your use of the services.
  12. Disclaimer of Warranties – Our services are provided “as is” without any warranties, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
  13. Indemnification – You agree to indemnify and hold harmless Innovthrix Solutions, its employees, and affiliates from any claims, losses, or damages arising out of your breach of these Terms or your use of the services.
  14. Termination – We may terminate or suspend your access to the services at any time, with or without cause, effective immediately. Upon termination, your right to use the services will cease.
  15. Governing Law – These Terms shall be governed by and construed in accordance with the laws of the State of Missouri, without regard to its conflict of laws provisions.
  16. Dispute Resolution – Any disputes arising out of or relating to these Terms shall be resolved through binding arbitration in Hannibal, Missouri, in accordance with the rules of the American Arbitration Association.
  17. Waiver and Severability – Failure to enforce any provision of these Terms shall not constitute a waiver. If any provision is found unenforceable, the remaining provisions shall remain in full force and effect.
  18. Entire Agreement – These Terms, together with any project agreements and policies referenced herein, constitute the entire agreement between you and Innovthrix Solutions regarding the use of our services.
  19. Changes to Terms – We reserve the right to update these Terms at any time. Continued use of the services after any changes constitutes your acceptance of the new Terms.
  20. Third-Party Services – Our services may integrate with third-party platforms. We are not responsible for the content or practices of those third parties, and your use of them is at your own risk.
  21. Force Majeure – Neither party shall be liable for any failure or delay in performance due to causes beyond its reasonable control, including acts of God, natural disasters, war, or governmental actions.
